Governance tokens matter because they decide who can change code, set risk parameters, and spend reserves. In DeFi, that is not symbolic community participation. It is operational control over treasury runway, incentives, collateral policy, and execution rights. Uniswap’s current governance process ends in executable on-chain proposals that require 1 million UNI to submit and 40 million UNI to reach quorum, while Maker governance routes community polls into executive actions that can change live protocol parameters after a governance delay.
Governance tokens are closer to control rights than to community badges
The cleanest way to understand a governance token is to ask what damage a bad vote could do and what value a good vote could preserve. If a token can authorize budget spend, treasury diversification, debt ceiling changes, emissions, or code upgrades, then the token is part of the protocol’s capital structure. The “community” framing is real, but incomplete. The harder truth is that governance tokens allocate resources under uncertainty.
That distinction is obvious in Maker. Maker’s technical documentation states that MKR is used for the risk management and business logic of the protocol, and also that MKR can be minted and sold for DAI to recapitalize the system during insolvency. That means governance is not just advisory. It is tied directly to balance-sheet defense and dilution risk.
It is also visible in Uniswap’s operating perimeter. On September 30, 2025, the Uniswap Foundation reported $54.4 million in USD and stables on hand, 15.3 million UNI, and 241 ETH, with $108.3 million allocated to grants and $32.6 million allocated to operations and employee token awards through January 2027. Once governance oversees that scale of grantmaking and runway, governance quality becomes treasury quality.
From a treasury risk perspective, this is the central point. Governance tokens promise user influence over project decisions, but the durable question is whether that influence is constrained, monitorable, and economically coherent. A DAO with a powerful treasury and weak budget discipline is not more decentralized in any meaningful operating sense. It is simply more discretionary.
How governance power actually becomes an executable change
Most DeFi governance systems are not one-step plebiscites. They are pipelines that move from discussion, to signaling, to formal voting, to delayed execution. OpenZeppelin’s Governor framework treats proposal thresholds, quorum, voting delay, and timelock delay as core control variables. In these systems, the timelock is not cosmetic. It is the contract layer that sits between a passed vote and execution, and it often holds the governed assets or execution authority.
Thresholds and quorum are where decentralization rhetoric usually meets operating reality. The proposal pipeline only works when thresholds are high enough to deter spam without making proposals impossible to pass. Voting power is also snapshotted at the start of voting, so later delegation or balance changes do not affect that proposal. That reduces some forms of intravote manipulation, but it does not solve concentrated ownership or pre-vote accumulation.

The practical implication is simple. A governance token is only as decentralized as the proposal pipeline, the execution delay, and the treasury mandate sitting behind it. Holder count alone says very little.
Uniswap shows how community governance can be broad, but still hard to exercise
Uniswap is a strong example of governance tokens enabling structured community input without pretending that raw token ownership is enough. The current process requires public discussion first, then an off-chain temperature check, and only then an on-chain executable proposal. That creates a social filter before capital or code is put at risk. It also acknowledges a real constraint: if every proposal went straight on-chain, both spam and governance fatigue would rise.
But Uniswap also shows the accessibility problem. A 1 million UNI proposal threshold is lower than the protocol’s earlier, more restrictive setup, yet it is still a high bar for independent holders. In practice, that pushes governance toward delegates, coalitions, and institutions that can aggregate voting power. That is not necessarily bad. Complex protocols benefit from specialized delegates. The trade-off is that “community power” becomes representative governance, not direct democracy.
The treasury angle is more important than the governance theater. The Uniswap Foundation’s 2025 financial reports show a governance-adjacent operating arm managing large stablecoin balances, large token reserves, and multi-year grant commitments. That is exactly where reserve policy matters. A protocol can justify ecosystem investment, but large discretionary reserves need explicit runway targets, conversion rules, milestone-based disbursement, and reporting cadence. Otherwise the token becomes a mechanism for authorizing soft-budget drift.
Uniswap’s model therefore supports a qualified conclusion. UNI does give users a real path to influence protocol direction. It also demonstrates that meaningful governance in DeFi usually depends on process design, delegate structure, and treasury controls more than on the token’s branding as “community-owned.”
MakerDAO is the clearest case for governance as risk management
Maker’s governance design is closer to a live risk committee than to a general-purpose online referendum. The protocol’s governance module is built around the Chief, Pause, and Spell contracts. The Chief is an approval-voting system where voters lock tokens to add weight to their preferred slate. The Pause contract enforces a delay before scheduled actions can execute. That architecture reflects a sober assumption: if governance can change a financial system, governance itself must be slowed, staged, and hardened.
The economic content of Maker votes is unusually concrete. In a February 12, 2024 poll, holders were asked to increase the DIRECT-SPARK-DAI maximum debt ceiling by 300 million DAI, from 1.2 billion to 1.5 billion DAI, while also changing the target available debt and buffer. That is capital allocation, liquidity provisioning, and risk appetite expressed through governance. It is not community sentiment in the abstract.
MKR’s role makes the stakes even clearer. Maker’s docs explicitly describe MKR not only as a governance token, but also as a recapitalization resource that can be minted and sold for DAI during insolvency. That means poor governance does not just produce bad product decisions. It can translate into dilution when the system needs to repair its own balance sheet. From a treasury standpoint, that is one of the strongest alignments in DeFi, because voters are theoretically exposed to the downside of underpricing risk.
There is a tension here, and the evidence matters. Strong financial exposure can improve discipline, but it does not eliminate coordination problems. Maker’s own Chief documentation warns that moving votes between slates can temporarily lower the barrier for an unexpected proposal to become the active “hat,” and that stale proposals can remain live under low participation. In other words, economic alignment helps, but governance mechanics still matter.
Community power narrows fast when concentration, apathy, and transferability collide
Governance tokens tend to concentrate faster than the marketing around them suggests. A 2024 empirical study of Compound, Uniswap, and ENS found that the majority of voting power is concentrated in a small number of addresses. The same study also found an important counterweight: those large actors rarely overturned the outcome preferred by the broader community and less influential voters. That is the right way to read the evidence. Concentration is real, but concentration is not automatically abuse.
Participation is the second structural problem. A 2023 paper on DeFi governance concluded that users often do not use governance tokens to vote, that voting rates are negatively correlated with gas prices, and that voting is highly centralized. That finding matters because token distributions can look broad while effective governance remains narrow. Delegation helps, but delegation mainly changes the form of concentration. It does not remove it.
Transferable voting power creates the third problem. Freely tradeable governance tokens can be accumulated to manipulate votes, and flash loans can amplify that risk. Beanstalk is the canonical illustration. A sustainable governance token should optimize for credible control, bounded discretion, and reserve survival. That leads to a more demanding checklist than the usual decentralization language.
- Separate discussion, signaling, and execution. Uniswap’s staged process and Maker’s poll-to-executive path both reduce the risk of impulsive treasury or code changes.
- Use delays where user funds or core protocol logic are exposed. Delayed execution should be treated as a core security primitive, not optional UX friction.
- Set thresholds against real delegated or circulating power, then revisit them after unlocks, treasury transfers, and delegate concentration change the field.
- Treat treasury programs as budget systems. That means stable-denominated runway targets, explicit mandates, milestone-linked disbursements, and transparent reserve policies. The larger the discretionary pool, the stronger the governance constraints should be.
- Recognize when token-weighted voting is insufficient by itself. If the protocol governs leverage, collateral, or reserve assets, domain expertise and formal risk review should sit between sentiment and execution. Maker’s architecture already points in that direction.
